1. General Terms and Conditions

    Unless explicitly stated in writing by an authorised representative of ITECH Digital Solutions (“ITECH Digital Solutions”), the following general Terms (“Terms”) apply to all business transactions relating to the supply of Goods or Services by ITECH Digital Solutions. Failure to accept these Terms may void any agreement for the supply of Goods or Services by ITECH Digital Solutions. These Terms supersede any previous understandings either verbal or written between ITECH Digital Solutions and the Customer (being you, the purchaser of Goods and/or Services).

  2. Orders

    The Customer may order Goods and/or Services from ITECH Digital Solutions by submitting a written order or by accepting and signing this document. By submitting an order, the Customer is deemed to have accepted these Terms which are hereby expressly incorporated into each written or digital order. The written or digital order constitutes an offer by the Customer to purchase the Goods and/or Services and ITECH Digital Solutions reserves the right to accept or decline in whole or part any order. An order becomes binding on ITECH Digital Solutions upon written or digitaly signed acceptance by ITECH Digital Solutions or at the time it commences the supply of Goods/provision of Services (whichever is earlier). Circumstances may arise where hardware or software procurement delays occur due to reasons outside of the control of ITECH Digital Solutions, this will be communicated to the Customer as soon as possible. Procurement delays to not warrant discounts or cancellation of orders unless explicitly agreed or accepted by ITECH Digital Solutions.

  3. Goods and/or Services

    ITECH Digital Solutions agrees to provide the Goods and/or Services to the Customer as set out in any accepted written or digital order or quote. ITECH Digital Solutions may provide an additional agreement/terms for the Goods and/or Services that will apply in addition to these Terms. The scope of the Goods and/or Services will be as set out in the written or digital order, quote or additional agreement. The Customer may request ITECH Digital Solutions to provide extra Goods or Services, and ITECH Digital Solutions may accept or reject that request in its sole discretion and subject to any conditions ITECH Digital Solutions determines.

  4. Pricing

    The pricing for Goods or Services will be as indicated on any written or digital quote or invoice and will be valid for 14 days from the date of the written or digital quote or invoice unless explicitly stated in the quote or proposal. If a written or digital quote or invoice is not valid, the price is subject to revision in accordance with ITECH Digital Solutions. ITECH Digital Solutions reserves the right to vary the price for Goods or Services on 30 days’ written notice without cause. ITECH Digital Solutions may vary the price of Goods or Services immediately on giving written notice where the cost of supply increases as a result of any additional regulatory costs, penalties or taxes imposed by any governmental or regulatory body, or where a material fluctuation in currency exchange rates occurs which negatively affects ITECH Digital Solutions (as determined by ITECH Digital Solutions in its discretion). The Customer is not granted the right to cancel any order due to a price variation, however, if the Customer rejects the increase then ITECH Digital Solutions may choose to either affirm the contract at the price before the variation or terminate the contract with immediate effect and without any liability to the Customer. Notwithstanding any other clause of these Terms, all prices payable for Goods or Services may be automatically increased at ITECH Digital Solutions discretion each year during the term by 5%, on and from 1 July each year, upon ITECH Digital Solutions providing the Customer with a notice to that effect. Unless otherwise stated, all prices specified are inclusive of GST.

  5. Payment Terms

    In consideration of the supply of Goods and/or Services the Customer agrees to pay ITECH Digital Solutions the fees specified in the invoice in accordance with the payment terms set out in the invoice, which may include, without limitation, a requirement for payment of a deposit or progress payments. Credit limits may also apply. Payment terms for all invoices are 14 days unless otherwise stated in writing by ITECH Digital Solutions. Any payment methods other than cash or direct deposit may attract additional fees or charges dependant on the payment method and fees charged by the financial institution used by ITECH Digital Solutions and the Customer. Credit Card payments will attract a 2% service charge and ITECH Digital Solutions reserves the right to adjust this without notice. If the Customer fails to make payment of any amount in accordance with these Terms, ITECH Digital Solutions reserves the right to suspend or terminate the supply of Goods and/or Services immediately on giving notice, and charge the Customer a late payment fee of 10% of the total invoiced amount. Where Goods and/or Services are suspended, ITECH Digital Solutions reserves the right to only reinstate those Goods and/or Services on receipt in cleared funds of all amounts due (including late fees). To the extent permitted by law, all fees paid are non-refundable. In the event that ITECH Digital Solutions is required to pursue legal action or engage a collection agency to recover the overdue payments, the Client shall be responsible for all reasonable costs associated with such action, including attorney’s fees and collection agency fees.

  6. Consequential Loss

    ITECH Digital Solutions offers no compensation implied or otherwise for the loss, including consequential loss, of business productivity or data through the failure – inadvertent or otherwise of any IT system supported or supplied by ITECH Digital Solutions. It is the sole responsibility of the client to ensure that their business is appropriately insured for any critical event which could result in the loss of data or business productivity as a result of IT systems failure, whether failure of hardware or caused by software malfunction, malicious execution of software code (malware, viruses), or any other cause.

  7. Limitation of Liability

    It is not a guarantee that Customer will never have a problem with their equipment, software or data nor is it a guarantee that the security of the Customer’s network will never be compromised. ITECH Digital Solutions will supply the services under the Agreement using its best endeavours. To the extent permitted by law ITECH Digital Solutions does not accept any liability for any loss or damage to Customer’s equipment, software or data however it arises, including as a result of any negligent act or omission by ITECH Digital Solutions or its staff or representatives.

  8. Order Amendments or Cancellations

    Should the Customer wish to make a variation or cancellation to an order which has already been placed with ITECH Digital Solutions, this must be submitted in writing to ITECH Digital Solutions detailing a valid reason for the order cancellation or variation. Any amendments may vary fees payable and will be invoiced pro-rated from the date the change was made. Approval of a request to cancel or vary an order placed with ITECH Digital Solutions is at the sole discretion of ITECH Digital Solutions. Order cancellation and re-stocking fees may apply, and these fees may include, but are not limited to any additional costs, or un-warranted financial loss incurred to ITECH Digital Solutions as a result of the order cancellation/amendment. Orders placed for licensed software are NON-REFUNDABLE, and ITECH Digital Solutions will pursue the full sale cost without limitation of any software license purchases once ordered. Any last minute cancellations of labour Services within 2 hrs of the allocated booking time where that time is unable to be allocated to another job may incur a cancellation fee. The cancellation fee will be equal to 50% of the minimum callout charge.

  9. Device Repairs

    1. General Assessment Fee:
      This fee is a non-refundable service and ranges depending on the device. The fee may be charged to the customer if a device is inspected for repair and customer declines further work or does not wish to proceed with repair quote.
    2. Insurance Assessment Fee: This fee is a non-refundable service and ranges depending on the device. The fee covers insurance assessment of the device and a written invoice\quote.
    3. Settings and Data: Device information may have been lost due to original physical or water damage. Whilst due care is taken, data may be lost during repair due to unforeseen circumstances. It is the customers responsibility to backup all data prior to submitting the device, as we cannot guarantee all data will be retained. iTech Digital will not be held responsible for any lost data.
    4. SIM / Memory Cards / Accessories: We endeavour to remove any sim / memory cards and accessories such as cases upon surrender of the device. However, the removal of sim, memory cards and device accessories are your responsibility. Anything left in the device is done so at the customers’ own risk. iTech Digital will not be held responsible for any lost sim, memory cards or any other accessories.
    5. Service Warranty: iTech Digital repairs are backed with a three-month warranty on all labour and parts replaced from the date of the original invoice. iTech Digital warranty only applies directly to the repairs performed on the device. A Tax Invoice must be produced for a valid warranty claim. iTech Digital reserves the rights to reject the warranty if a tax invoice or proof of repair cannot be produced. Warranty period is not reset if any warranty repairs take place. Physical and liquid damage to repaired parts and or device voids our warranty.
    6. Original Manufacturer Warranty: iTech Digital only offers non-manufacturer warranty repairs. By submitting your device for repairs, you agree that your device is not covered by your original manufacturer’s warranty. If the device is still covered, you understand and agree to forfeit said warranty.
    7. Delivery\Payment Policy: All payments for services and repairs are due in full prior to collection of the device or leaving site. iTech Digital reserves the right to retain the customers devices until invoice has been paid in full.
    8. Part Orders: Special order items cannot be cancelled due to change of mind, and a deposit for item/s is required upfront. Occasionally we experience delays in receiving parts from our suppliers and we will do our best to find a suitable solution if this arises.
    9. Locks / Codes: Should you require the removal of any locks or passwords, please note it is the customers’ responsibility to ensure the handset is not IMEI locked. If the handset is found to be IMEI locked after removal of locks or passwords is performed, the customer is still liable for payment. iPhone devices can occasionally become disabled due to damage to screen or other circumstances. iTech Digital takes no responsibility of any data loss that may occur from these circumstances.
    10. Collections: I agree that if I do not contact iTech Digital with a decision on repairs within 60 days, my device will be recycled. I agree that if I do not collect my device within 30 days of being informed it is ready for collection, my device will be recycled. I will have no claim against iTech Digital for said equipment once disposed. This is in accordance with the Uncollected Goods Act 1995.
    11. Unforeseen Circumstances: During repairs there is a risk of irreversible damage or component failure due to the nature of the repairs. While we take every precaution possible to avoid further damage or component failure the customer accepts repairs with the knowledge that unforeseen circumstances can happen. Proceeding with the repair the customer accepts the risk and responsibility of their data as per the ‘settings and data’ clause above and accepts that the quoted price can change to cover any further parts required to amend devices with unforeseen damage.
    12. Returns / Refunds: The customer must notify iTech Digital of any defects and or issues with the goods or services supplied within seven (7) days of the invoice date otherwise the customer is deemed to have accepted the Goods and Services in full. If the customer notifies iTech Digital of a defect in accordance above, iTech Digital may choose to refund, replace or repair the Goods or provide any other remedy it chooses.
    13. Ownership: I agree that I am the owner or have permission to act on behalf of the owner of the device submitted to iTech Digital and agree to the above terms and conditions.
